Welcome to My Assistant. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.

By accessing and using the services provided by My Assistant ("we," "us," or "our"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

My Assistant provides professional services including, but not limited to:

  • Automation and workflow optimization services

3. Use of Services

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts under Canadian law to use our services.

3.2 Account Registration

Some services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Prohibited Uses

You agree not to use our services to:

  • Violate any applicable federal, provincial, or local laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Engage in any fraudulent or deceptive practices
  • Interfere with or disrupt the operation of our services
  • Attempt to gain unauthorized access to our systems or networks

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and designs, are owned by My Assistant or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

4.2 Client Materials

You retain all rights to any materials, data, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.

4.3 Work Product

Upon full payment for services rendered, you will own the final deliverables created specifically for you, unless otherwise agreed in writing. We retain ownership of any pre-existing materials, methodologies, tools, and general knowledge used in providing our services.

5. Payment Terms

5.1 Fees

Fees for our services will be specified in individual service agreements or proposals. All fees are in Canadian dollars unless otherwise stated.

5.2 Payment

Payment is due according to the terms specified in your service agreement. We reserve the right to suspend or terminate services for non-payment.

5.3 Taxes

All fees are exclusive of applicable federal and provincial taxes (including GST/HST/PST). You are responsible for paying all applicable taxes.

6. Confidentiality

We understand the importance of confidentiality in business relationships. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services, subject to applicable legal requirements.

7. Limitation of Liability

To the maximum extent permitted by Canadian law:

  • Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
  • We do not warrant that our services will be uninterrupted, error-free, or completely secure

8. Indemnification

You agree to indemnify, defend, and hold harmless My Assistant and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.

9. Termination

Either party may terminate the service agreement with written notice as specified in the agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any breach of these Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation, the parties agree to pursue mediation before initiating any legal proceedings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

13. Privacy

Your use of our services is also governed by our Privacy Policy, which complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. Please review our Privacy Policy to understand our practices.

14. Warranties and Disclaimers

We strive to provide high-quality professional services. However, our services are provided "as is" and "as available" without warranties of any kind, either express or implied, except as required by applicable Canadian consumer protection laws.

15. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable under Canadian law, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and My Assistant regarding the use of our services and supersede all prior agreements and understandings.
